Former director sues Photon for $4.4m

JUST weeks after washing its hands of the controversial Geekversity internet get-rich-quick scheme, Photon Group is being sued for more than $4 million by a former director of one of its internet companies.

Late last year the listed marketing services company narrowly avoided a court action after aggrieved "students" of the scheme, which charged people up to $21,000 to learn how to make money from internet traffic, demanded their money back.

Now a former director and principal shareholder of iMega, which at its peak generated monthly earnings of $750,000, is suing Photon for allegedly failing to pay $4.4 million in earn-out fees.

In a statement of claim, Janina Fabig says that according to the terms of an agreement struck in 2006 she would be paid out if iMega's annual profits exceeded $6 million for the next four years.

Ms Fabig alleges that because iMega and Geekdom, which was spun out of iMega in 2008, are in effect the same company, her earn-out should be calculated on Geekdom's performance. The two companies shared the same offices, key proprietary tools and staff, she alleges.

The claim also details the rise of Geekdom as it eclipsed iMega and how Photon sought to recalibrate the business model to take advantage of changes in the $1.4 billion online advertising market.

The fortunes of iMega, which was a leading player in click arbitrage, changed in November 2006, the same month Photon took control of the company after paying what appeared to be $37 million in a mix of cash and shares for it earlier that year.

Monthly profits at iMega plummeted overnight from $750,000 to zero following Google's decision in late 2005 to improve the quality scores that determine a landing page's ranking in results returned by the search engine.

Google made the change in part to prevent click arbitrageurs such as iMega from gaming the system by leading internet users to a page simply to serve them up ads. iMega bought cheap clicks from the Google AdWords programs, then directed that traffic to more popular websites, serving users' ads along the way and pocketing the difference.

Following Google's move, Photon directed iMega to blast the internet with new websites with higher quality scores to beat the system before finally changing the company's direction, which eventually ended up as Geekdom, which in turn ran the Geekversity program.

Ms Fabig's claim also says that Geekdom made $4 million - its declared earnings for the 2008 financial year - in just 28 business days.

At the end of last year the company announced that the decision to sell off Geekversity would result in a loss of $5.5 million in the first half of this financial year. That figure included refunds to disgruntled students and it has no ongoing liabilities.

Photon said the claims had no basis and that it was inappropriate to make any further comment. The matter is listed in the NSW Supreme Court for a hearing on February 19.

Geekdom becomes latest Photon firm to restructure

Geekdom is set to be the second Photon company in recent days to undergo a major restructure, Mumbrella can reveal.

Boss Troy Rushton confirmed to Mumbrella that an announcement is imminent on Geekdom's consumer-facing division Geekversity.

Geekversity claims to be able to teach its clients how to make money in online marketing. It charges several thousand dollars per course. Last week it was reported by News Ltd that the company was facing a customer revolt and cashflow issues. A Facebook group, The Geekversity Issues Group, has also been set up tackling similar topics.

And in October it was reported in B&T that Geekdom had let go of nearly 20 staff.

Rushton denied that the company is set to close its doors, telling Mumbrella that industry rumours of more staff being made redundant this week were untrue.

He said: "There's been nothing going on like that. There might be an announcement next week. Geekdom got into a consumer business and it's not what we want to be in. There will be a communication coming next week."

He declined to say whether this would be the closure or sale of Geekversity.

The reshaping of Geekdom comes days after fellow Photon company The Population revealed that it was to shut, with staff moving to sister company C4.

Internet firm faces customer revolt

AN INTERNET marketing firm offering financial independence for clients is facing a customer revolt which is threatening its cash flow.

Geekdom, a subsidiary of the listed Photon Group, is facing the prospect of national legal action from former customers seeking refunds of their $18,000 payments.

The company is also battling a $20,000 pay dispute with a former employee.

"I know of clients who haven't been paid, I know of contractors who haven't been paid, I know of a sizeable number of suppliers who haven't been paid," an industry source said.

"They booked a lot of sales that were on payment plans, and if customers get refunds, payments don't get made."

Geekdom teaches its customers how to trade online advertising traffic, sell affiliated products and trade domain names using its proprietary software, Internet in a Box. But a dramatic drop in online revenues sparked a rush of refund requests.

A company source said its client base had dropped from 230 to 160 active clients since September. Another 170 students were seeking a refund.

Geekdom chief executive Troy Rushton said these numbers were not "totally accurate, but they don't feel wildly out". He said payments had been delayed because customers had not supplied ABNs, but the delays were not "onerously long".

"It is not a solvency issue, it is about the sheer volume of activity we are undertaking to meet this demand for refunds," he said.

"We have got a flurry of requests for refunds, so we are working our way through that. But we have support from Photon as our shareholder, we have substantial debtors, but by no means are we insolvent."

Photon Group chairman Tim Hughes has announced a revised bid for listed internet marketing company Dark Blue Sea and has reportedly held discussions with Lachlan Murdoch and his private investment company Illyria about taking a stake in Photon.

He has refused to confirm speculation that the company intends to spin off its internet and e-commerce division, anchored by Geekdom, into a new $120 million entity.

Photon shares closed unchanged at $1.55.
